Terms of Use

1. Website Owner and Agreement to Terms

 

This website is owned and operated by Orion Arts LLC (“Orion Arts,” “we,” “us,” or “our”). These Terms of Use (“Terms”) constitute a legally binding agreement between you and Orion Arts regarding your access to and use of this website and our services. By accessing the site or booking a session, you confirm that you have read, understood, and agree to be bound by these Terms.

 

2. Eligibility and Authority

 

  • ●    Age Requirement: You must be at least 18 years old, or the age of majority in your jurisdiction, to use this website or book services.

  • ●    Minors: If the service participant is under 18, a parent or legal guardian (“Guardian”) must complete the booking and remains legally bound by these Terms and the Master Agreement.

  • ●    Compliance: You may not use our services if doing so is prohibited by applicable law.

 

3. Description of Services

 

Orion Arts provides educational and recreational instruction in performing arts, including vocal coaching, acting, audition preparation, and artistic development.

 

  • ●    Format: Instruction may be provided in person at our physical location, remotely via third-party video conferencing, or in group/private formats.

  • ●    Discretion: Orion Arts reserves the right to modify lesson structure, teaching methods, or curriculum at its professional discretion.

 

4. Residential Premises Disclosure and Safety

 

Important notice regarding in-person instruction:

 

  • Residential Setting: You acknowledge that in-person instruction occurs at a studio built on residential property which may not be regulated or inspected in the same manner as a commercial facility.

  • Inherent Risks: You understand that entering residential premises carries inherent risks, including but not limited to: driveway inclines, uneven pavement, residential steps/thresholds, household pets, and weather-related conditions like snow or ice.

  • Health Policy: To protect all students, you agree not to attend in-person lessons if experiencing symptoms of communicable illness (e.g., fever, flu, or respiratory illness).

 

5. Mandatory Recording and Privacy (NH RSA 570-A)

 

  • Express Consent: New Hampshire is a two-party consent state. By booking a lesson, you provide express consent for Orion Arts to record sessions (audio and video) for instructional review, safety documentation, and quality assurance.

  • COPPA Compliance: If the student is under 13, the Guardian provides verifiable parental consent for recording and remote instruction as required by the Children’s Online Privacy Protection Act.

  • Retention: Recordings are typically retained for the duration of the student's participation plus 90 days, unless required longer for legal or safety reasons.

 

6. Booking, Payment, and Cancellations

  • Contract Formation: A binding contract is formed upon completion of the checkout and payment process.

  • 24-Hour Cancellation Policy: Lessons cancelled less than twenty-four (24) hours before the scheduled start time are non-refundable and will be billed at the full session rate.

  • Late Arrivals: Sessions will end at the originally scheduled time regardless of late arrival; no time extensions or partial refunds will be granted.

  • Instructor Cancellation: If Orion Arts cancels a session, you will be offered a rescheduled date or a credit toward a future lesson.

 

7. Intellectual Property and Conduct

 

  • Ownership: All teaching materials, lesson plans, recordings, and website content are the exclusive intellectual property of Orion Arts.

  • Restrictions: You may not copy, reproduce, or commercially exploit any materials or recordings without express written consent.

  • Termination: We reserve the right to terminate access or lessons immediately for unsafe behavior, harassment, or repeated policy violations.

 

8. Assumption of Risk and Waiver of Liability

 

  • Assumption of Risk: You voluntarily assume all risks associated with performing arts instruction, including physical injury, vocal strain, emotional stress, and technology failures.

  • Release: To the fullest extent permitted by New Hampshire law, you release and discharge Orion Arts and its instructors from liability for injuries or damages arising from ordinary negligence.

  • No Guarantee of Results: We do not guarantee specific professional or artistic outcomes, such as talent agency representation, casting, or college admissions.

 

9. Limitation of Liability

 

  • Cap on Liability: To the maximum extent permitted by New Hampshire law, Orion Arts’ total liability for any claim shall not exceed the total amount of fees paid by you to us during the three (3) months preceding the event giving rise to the claim.

  • Exclusion of Damages: We shall not be liable for indirect, incidental, or consequential damages, including lost performance opportunities.

 

10. Governing Law and Dispute Resolution

 

  • Governing Law: These Terms are governed by the laws of the State of New Hampshire, without regard to conflict of law principles.

  • Mandatory Mediation: Any dispute arising from these Terms or our services shall first be submitted to good faith mediation in Rockingham County, New Hampshire.

  • Exclusive Jurisdiction: If mediation is unsuccessful, the parties agree to the exclusive jurisdiction of the New Hampshire Superior Court in Rockingham County.
